These Terms & Conditions (the “Terms”) govern your access to and use of Zinsiehe’s AI services and consulting services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

  • “Customer” means you, the individual or entity that uses the Services.
  • “Data” means any information, including personal information, that you provide to Zinsiehe or that Zinsiehe collects in connection with your use of the Services.
  • “Intellectual Property” means all patents, copyrights, trademarks, trade secrets, and other intellectual property rights owned by Zinsiehe or its licensors.
  • “Services” means Zinsiehe’s AI services and consulting services, including any documentation, software, and other materials provided by Zinsiehe.
  1. Use of Services
  • You may only use the Services for your internal business purposes and in accordance with these Terms.
  • You may not:
    • Copy, modify, distribute, sell, or lease any part of the Services.
    • Reverse engineer, decompile, or disassemble the Services.
    • Access the Services in a way that could harm, overburden, or disable the Services.
    • Use the Services for any illegal or unauthorized purpose.

  • You are responsible for the accuracy, completeness, and legality of all Data you provide to Zinsiehe.
  • You grant Zinsiehe a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, translate, distribute, and sublicense the Data for the purpose of providing the Services.
  • You retain all ownership rights to your Data.
  1. Intellectual Property
  • Zinsiehe owns all Intellectual Property in the Services.
  • You may not remove any copyright, trademark, or other proprietary notice from the Services.
  1. Fees and Payment
  • The fees for the Services are set forth in the applicable Order Form.
  • You are responsible for all taxes and other charges associated with your use of the Services.
  • Payment is due upon receipt of invoice.
  1. Warranties and Disclaimers
  • THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ZINSEHE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.
  1. Limitation of Liability
  • IN NO EVENT SHALL ZINSEHE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ZINSEHE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  1. Termination
  • Zinsiehe may terminate your access to the Services at any time, with or without cause.
  • You may terminate your use of the Services at any time.
  1. Governing Law and Dispute Resolution
  • These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
  • Any dispute arising out of or in connection with these Terms shall be settled by arbitration in accordance with the rules of the American Arbitration Association.
